Welcome to UpcubeAI
These Terms of Use describe the rules that apply when you access or use UpcubeAI websites, products, services, applications, previews, tools, content, and related experiences. UpcubeAI is building a connected product family across AI workspaces, voice, education, commerce, discovery, cloud infrastructure, entertainment, and future computing. These Terms are designed to explain the relationship between UpcubeAI and the people or organizations who use our services. By accessing or using UpcubeAI, you agree to these Terms. If you do not agree to these Terms, do not use the services. Important notice: This document is a public-facing terms template and should be reviewed by qualified legal counsel before publication. It is not legal advice and should be adapted to match the final company entity, jurisdiction, privacy policy, payment terms, product availability, data practices, and compliance obligations.
1. Who these Terms apply to
These Terms apply to your use of UpcubeAI.
These Terms apply when you use any UpcubeAI product, website, preview, app, interface, API, tool, workspace, or related service that links to these Terms. This may include: UpcubeAI Ethen Upcube Books Upcube Earth Upcube Games Upcube Jobs Upcube Cloud Ventari Cloud VM Upcube Voice Upcube Education Upcube OS previews Upcube Mobile OS previews Other UpcubeAI products, previews, or services that link to these Terms Some products may have additional terms, product-specific rules, subscription terms, acceptable use rules, privacy notices, beta terms, API terms, or enterprise agreements. If a product has additional terms, those terms also apply. If there is a conflict between these Terms and a signed written agreement between you and UpcubeAI, the signed written agreement controls for the services covered by that agreement.
2. Using UpcubeAI
Use the services responsibly.
You may use UpcubeAI only in a lawful, responsible, and respectful way. You are responsible for your activity, your content, your account, and the way you use AI-generated output. You agree not to misuse the services, interfere with them, attempt to access them in unauthorized ways, or use them to harm others. You also agree to follow all applicable laws, regulations, third-party rights, platform rules, and product-specific usage limits.
Your responsibility
You are responsible for: The prompts, files, data, content, or materials you submit. The decisions you make based on output from the services. Reviewing AI-generated content before relying on it. Making sure your use complies with applicable laws and obligations. Keeping your account credentials secure. Getting any required permissions before uploading or processing third-party content.
Product availability
UpcubeAI products may change over time. Some features may be live. Some may be previews. Some may be beta, experimental, limited, unavailable, or under active development. We may update, suspend, discontinue, rename, replace, or restrict access to any feature or service at any time.
3. Accounts and access
Keep your account secure.
Some UpcubeAI services may require an account. You must provide accurate information when creating or using an account and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify UpcubeAI if you believe your account has been compromised or used without authorization. We may suspend or terminate access if we believe an account is being used in violation of these Terms, our policies, the law, or the rights of others.
4. Age requirements
Use must be appropriate for your age and location.
You must be old enough to use the services under the laws of your location. If you are under the age required to form a binding agreement, you may use the services only with permission from a parent, guardian, school, organization, or other authorized party, where allowed by law. Some services may have stricter age requirements, especially products involving AI, education, communication, accounts, payments, or user-generated content.
5. Acceptable use
Do not use UpcubeAI to harm people, systems, or trust.
You may not use UpcubeAI to: Break the law or encourage illegal activity. Violate the rights, privacy, or safety of others. Upload or distribute malware, spyware, viruses, or harmful code. Attempt to gain unauthorized access to accounts, systems, networks, or data. Interfere with, overload, disrupt, scrape, reverse engineer, or abuse the services. Generate, distribute, or facilitate fraud, scams, spam, phishing, impersonation, or deceptive activity. Create or distribute content that is hateful, harassing, exploitative, abusive, or intended to threaten or harm others. Use the services to make high-impact decisions without appropriate human review. Misrepresent AI-generated content as human-created where disclosure is required. Bypass safety systems, rate limits, access controls, approval flows, or usage restrictions. Use the services to infringe copyrights, trademarks, privacy rights, publicity rights, trade secrets, or other intellectual property rights. Use UpcubeAI in a way that could damage the reputation, security, reliability, or availability of the services. We may investigate activity that appears to violate these Terms and may limit, suspend, or terminate access where appropriate.
6. AI-generated output
AI can help, but you remain responsible for review.
UpcubeAI services may generate text, code, summaries, recommendations, plans, search results, classifications, images, structured data, documents, or other output. AI-generated output may be inaccurate, incomplete, outdated, offensive, unsafe, biased, or unsuitable for your purpose. You should review output carefully before using it, sharing it, publishing it, relying on it, or making decisions based on it. You are responsible for evaluating output and deciding whether it is appropriate for your use.
No professional advice
Unless specifically stated in a separate written agreement, UpcubeAI does not provide legal, medical, financial, tax, investment, security, engineering, or other professional advice. AI output should not replace advice from qualified professionals. You should seek professional guidance before making important decisions in high-impact areas.
Similar output
Because AI systems can generate similar or identical output for different users, output generated for you may not be unique.
Human review
For sensitive, high-impact, public-facing, regulated, or consequential uses, you should apply human review and appropriate domain expertise before using the output.
7. Your content
You keep ownership of your content.
As between you and UpcubeAI, you retain ownership of content you submit to the services, including prompts, files, text, images, data, documents, code, and other materials you provide. You grant UpcubeAI a license to host, process, transmit, display, reproduce, modify, and use your content as needed to provide, maintain, secure, improve, and support the services, comply with law, enforce these Terms, and operate related product functionality. This license is limited to the purposes described in these Terms, our Privacy Policy, product-specific notices, or any applicable agreement. You represent that you have the rights and permissions needed to submit your content and allow UpcubeAI to process it.
8. Output ownership and use
You may use output, subject to these Terms.
Subject to these Terms, product-specific rules, and applicable law, you may use AI-generated output for your personal or business purposes. However, you are responsible for making sure your use of output does not violate laws, third-party rights, platform policies, contractual obligations, or professional requirements. UpcubeAI does not guarantee that output is protectable by intellectual property rights, does not infringe third-party rights, or is suitable for commercial use. You should conduct your own review before using output in commercial, public, legal, regulated, or high-impact contexts.
9. Intellectual property
UpcubeAI and its services are protected.
UpcubeAI, its products, websites, interfaces, software, designs, logos, names, branding, content, documentation, models, systems, code, infrastructure, and related materials are owned by UpcubeAI or its licensors and are protected by intellectual property and other laws. These Terms do not give you ownership of UpcubeAI technology, branding, software, models, websites, designs, or content. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, scrape, or create derivative works from UpcubeAI services except as allowed by law or with written permission. You may not use UpcubeAI names, logos, marks, product names, or branding without permission.
10. Feedback
Feedback helps improve the product.
If you provide ideas, suggestions, comments, bug reports, feature requests, or other feedback, you grant UpcubeAI the right to use that feedback without restriction or compensation to you. We may use feedback to improve products, build features, fix issues, update documentation, or develop new services.
11. Privacy
Your use is also governed by our privacy practices.
Your use of UpcubeAI is subject to our Privacy Policy and any product-specific privacy notices. The Privacy Policy should explain what information is collected, how it is used, how it may be shared, how it is stored, and what controls may be available. If privacy practices are still being finalized for certain products, public product language should remain conservative and should not overstate retention, training-data, security, compliance, or deletion commitments.
12. Payments, subscriptions, and billing
Paid services may have additional terms.
Some UpcubeAI services may require payment, subscription, usage credits, course fees, API fees, compute charges, or other paid access. If you purchase a paid service, you agree to pay all applicable fees, taxes, and charges. Pricing, billing periods, usage limits, renewal rules, cancellation rules, refunds, and access terms may be described at checkout, in the product, in an order form, or in product-specific terms. Unless stated otherwise, fees are non-refundable except where required by law or expressly stated in a written policy. We may change pricing, plans, or availability with appropriate notice where required.
13. Beta, preview, and experimental features
Some products are still being built.
UpcubeAI may offer beta, preview, prototype, demo, early access, experimental, or limited-release features. These features may be incomplete, unstable, unavailable, inaccurate, or changed without notice. They may not be suitable for production, regulated, business-critical, or high-impact use. Preview language should not be understood as a promise that a product or feature will launch, remain available, or work in a particular way. You use beta and preview features at your own risk.
14. Product-specific notes
Different products may have different boundaries.
UpcubeAI and Ethen
AI workspace features may include chat, research, artifacts, tool flows, approvals, and workspace continuity. You are responsible for reviewing output and approving sensitive actions.
Upcube Books
Book discovery, previews, metadata, saved titles, and public-domain lanes may rely on third-party providers. UpcubeAI does not grant rights to copyrighted books or content unless clearly stated.
Upcube Earth
Map, terrain, location, imagery, geospatial, and overlay data may rely on third-party providers and may be subject to attribution, licensing, availability, and accuracy limitations.
Upcube Games
Game metadata, images, platforms, releases, recommendations, and related information may rely on third-party sources and may not always be complete or current.
Upcube Jobs
Job listings and career-related content may come from third-party sources. UpcubeAI does not guarantee job availability, hiring outcomes, employer accuracy, or employment decisions.
Ventari
Commerce discovery may include product data, prices, images, descriptions, reviews, availability, recommendations, and external merchants. Product information may change and should be verified before purchase.
Upcube Cloud and Cloud VM
Cloud, compute, infrastructure, networking, storage, and virtualization features may be subject to technical limits, acceptable use requirements, security rules, and product-specific service terms.
Upcube Voice
Voice features may be previews or future product directions. Do not rely on preview language as a claim that hardware, devices, or public voice services are currently available unless explicitly stated.
Upcube Education
Upcube Education is a learning platform direction. Unless explicitly stated, it is not presented as a legal university, accredited institution, degree program, or professional licensing body.
Upcube OS and Upcube Mobile OS
Operating-system pages may describe long-range product direction, previews, or planned availability. They should not be treated as currently launched consumer operating systems unless explicitly stated.
15. Third-party services and content
Some experiences may connect to others.
UpcubeAI services may include links, integrations, APIs, data, content, previews, maps, books, products, games, jobs, payment processors, cloud services, or other materials from third parties. Third-party services are governed by their own terms and policies. UpcubeAI is not responsible for third-party content, availability, security, accuracy, pricing, licensing, or practices. You are responsible for reviewing and complying with any third-party terms that apply to your use.
16. APIs, automation, and developer use
Developer access must be responsible.
If UpcubeAI provides APIs, developer tools, automation features, CLI tools, SDKs, cloud workflows, or integrations, you agree to use them responsibly and within applicable limits. You may not: Abuse rate limits or usage limits. Bypass authentication, authorization, policy, residency, approval, or safety controls. Use APIs to scrape, resell, overload, or replicate the services without permission. Use developer tools to build harmful, deceptive, infringing, or unlawful applications. Misrepresent your integration with UpcubeAI. Expose keys, tokens, credentials, private data, or confidential information. Developer access may be suspended or restricted for abuse, security risk, policy violation, nonpayment, or service protection.
17. Security
Help keep the services safe.
You may not attempt to compromise, probe, scan, disrupt, reverse engineer, or gain unauthorized access to UpcubeAI systems, accounts, networks, infrastructure, models, APIs, or data. If you discover a security issue, report it responsibly and do not exploit, disclose, or misuse it. UpcubeAI may monitor usage, investigate suspicious activity, and take steps to protect users, systems, data, and infrastructure.
18. Service changes and availability
The services may change.
We may modify, improve, suspend, limit, or discontinue any part of the services at any time. We may also impose or change usage limits, access rules, storage limits, rate limits, product availability, or eligibility requirements. We do not guarantee that the services will be uninterrupted, secure, error-free, available in all regions, or compatible with every device, browser, network, or configuration.
19. Termination
Access may end if Terms are violated.
You may stop using the services at any time. We may suspend, limit, or terminate your access if: You violate these Terms. You misuse the services. Your use creates risk to users, UpcubeAI, third parties, or infrastructure. You fail to pay required fees. We are required to do so by law. A service is discontinued or materially changed. Termination does not affect rights or obligations that should reasonably continue, including intellectual property rights, payment obligations, disclaimers, limitations of liability, indemnity, and dispute provisions.
20. Disclaimers
The services are provided as available.
To the maximum extent permitted by law, UpcubeAI services are provided “as is” and “as available.” UpcubeAI makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, security, or that output will meet your needs. AI output may be inaccurate, incomplete, unsafe, outdated, or unsuitable for your use. You are responsible for reviewing and validating output before relying on it. Some jurisdictions do not allow certain disclaimers, so some of these disclaimers may not apply to you.
21. Limitation of liability
Liability is limited where permitted by law.
To the maximum extent permitted by law, UpcubeAI and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, business, revenue, or use, even if advised of the possibility of such damages. To the maximum extent permitted by law, UpcubeAI’s total liability for any claim relating to the services or these Terms will be limited to the greater of: The amount you paid to UpcubeAI for the service giving rise to the claim during the three months before the claim arose; or One hundred U.S. dollars. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
22. Indemnity
You may be responsible for claims caused by your use.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless UpcubeAI and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to: Your use of the services. Your content. Your violation of these Terms. Your violation of law. Your violation of third-party rights. Your misuse of AI-generated output.
23. Disputes and governing law
Legal terms should be finalized by counsel.
The governing law, venue, arbitration terms, class action waiver, small claims rules, consumer rights language, and dispute process should be finalized by qualified legal counsel based on the final UpcubeAI legal entity, operating location, customer regions, and product availability. Placeholder language: These Terms are governed by the laws of the jurisdiction where UpcubeAI’s legal entity is established, without regard to conflict-of-law principles. Any disputes will be resolved in the courts or dispute forum specified in the final published version of these Terms, unless applicable law requires otherwise.
